The PowerShares FTSE RAFI Developed Markets ex-U.S. Small-Mid Portfolio (Fund) is based on the FTSE RAFI Developed Markets ex-U.S. Mid-Small 1500 Index (Index). The Fund will normally invest at least 90% of its total assets in securities that comprise the Index and ADRs based on the securities in the Index. The Index is designed to track the performance of small and mid capitalization equities of companies domiciled in developed international markets (excluding the U.S.), selected based on the following four fundamental measures of firm size: book value, cash flow, sales and dividends. The equities with the highest fundamental strength are weighted according to their fundamental scores. The Fundamentals Weighted portfolio is rebalanced and reconstituted annually.

The Fund's return may not match the return of the FTSE RAFI Developed Markets ex-U.S. Mid-Small 1500 Index for a number of reasons. For example, the Fund incurs a number of operating expenses not applicable to the Index, and incurs costs in buying and selling securities, especially when rebalancing the Fund's securities holdings to reflect changes in composition of the Index.

The Fund may not be fully invested at times, either as a result of cash flows into the fund or reserves of cash held by the Fund to meet redemptions and expenses. If the Fund utilizes a sampling approach or futures or other derivative positions, its return may not correlate as well with the return on the FTSE RAFI Developed Markets ex-U.S. Mid-Small 1500 Index, as would be the case if it purchased all the stocks in the Index, with the same weightings as the Index.
